MASTER SERVICES AGREEMENT

7.2 Derivative Works. Any modifications, improvements, or derivative works created in the performance of this Agreement shall be the exclusive property of Vertex Systemsowned jointly by the Parties; each Party retains a perpetual, worldwide, non-exclusive license.

12.4 Cap on Liability. Aggregate liability under this Agreement shall be uncappednot exceed 1× fees paid in the prior 12 months, with a carve-out for IP infringement.
