Practice Area

Defense & Government Contracts

Subcontracts and flow-downs, teaming and JV structures, OTAs and SBIR awards, data rights, and CMMC terms for defense primes, subs, and emerging govtech suppliers who need an answer this week, not next quarter.

§ 01 · Overview

Your contracts shouldn't slow down your business

Our government practice is led by counsel with two decades in emerging-technology transactions and public-sector procurement, including inside a major government-services firm. We read the flow-downs line by line, tell you which clauses your prime or contracting officer will actually move on, and paper the deal at a flat fee, so contract review stops being the reason a program slips.

§ 02 · What We Handle

Government contract work we handle for you

Prime, Subcontracts & Task Orders

Subcontracts you sign under a prime and the ones you issue to your vendors, task orders off GSA, GWAC, and IDIQ vehicles, and the FAR and DFARS flow-downs behind them.

Teaming, JVs & Mentor-Protégé

Teaming agreements, joint ventures, and mentor-protégé arrangements, structured with SBA affiliation, size status, and conflict-of-interest questions in view.

OTAs, SBIR & Non-Traditional Awards

Other Transaction Agreements and consortium membership, SBIR and STTR awards, CSOs, CRADAs, and follow-on production terms.

Technical Data & IP Rights

DFARS data-rights assertions, SBIR data rights, restrictive markings, and keeping commercially developed IP out of unlimited-rights delivery.

CMMC, Export Control & Supply Chain

DFARS 7012 and CMMC obligations, CUI handling, ITAR and EAR terms, and Section 889, Buy American, and TAA sourcing restrictions.

Misc / Other

Have a government agreement that doesn't fit a category above? Send it over and we'll scope it.
