AI Data Sales & Licensing

Legal counsel for startups and established technology companies selling proprietary data to AI labs. Structure premium licensing deals, protect future revenue, and move from first offer to signed agreement.

Your data is valuable. Make the deal reflect it.

Your company may have spent years collecting specialized information, building a contributor network, or capturing workflows that are difficult to reproduce. An agreement with an AI lab can create a new revenue stream from that investment.

The economics depend on more than the headline price. What can the buyer train? Can it share the data with affiliates? Does the license cover future models or future data? Can you license the same dataset again? We help founders, commercial teams, and in-house counsel answer those questions before they become signed commitments.

We work with companies commercializing proprietary databases, expert demonstrations, annotated workflows, video, audio, images, sensor recordings, and continuously updated data feeds. For platform and community content, we help establish the permissions needed for the proposed use.

Planning to monetize data you have not collected yet? We help design collection practices, privacy notices, consent flows, and customer, contributor, and vendor agreements around future licensing—so your commercial plans account for applicable privacy requirements from the start.

From a first paid evaluation to a multiyear partnership, we connect the commercial terms to the rights you grant—and protect your ability to keep building.

From data collection to a long-term partnership

Protect the value beyond the first check

Price the rights being granted

A limited evaluation, a training license, and an exclusive arrangement offer different value. We structure upfront fees, minimum guarantees, recurring payments, and expansion terms around the scope of the deal.

Preserve future customers and products

We scrutinize restrictions that could prevent you from licensing to another lab, serving existing customers, or developing your own AI products. Exclusivity should have a defined scope, duration, and commercial commitment.

Address what the buyer can create

We negotiate treatment of derived datasets, synthetic data, model outputs, and permitted model use so the agreement addresses more than access to the original files.

Allocate liability around what you control

We negotiate representations, indemnities, and liability limits with attention to the data’s provenance and the buyer’s intended uses, modifications, and combinations.

Plan for the end of the relationship

Stopping new deliveries, ending future training rights, and restricting continued use of existing models are different outcomes. We make retention, deletion, and surviving rights explicit.

From first offer to signed agreement

Start with the opportunity

Send us the buyer’s draft, term sheet, or proposed use. We identify your commercial priorities and the legal work, then quote the scope before work begins.

Resolve the terms that drive value

We work with your business and technical teams on rights, pricing structure, exclusivity, delivery, and liability.

Negotiate and close

We handle drafting and negotiation, then identify the delivery requirements, payment milestones, and ongoing obligations your team needs to manage.

Frequently asked questions

Are we selling our data or licensing it?

That depends on the agreement. Delivering a dataset does not necessarily transfer ownership of the underlying intellectual property. We define what changes hands, what the buyer may do, and what you retain.

Can we license the same data to multiple AI labs?

Often, provided your underlying rights and existing agreements allow it. Exclusivity, confidentiality, and other restrictions can narrow that ability. We review those constraints and negotiate terms that support your intended business model.

The lab sent its standard agreement. Can you negotiate it?

Yes. We review the proposed agreement against your dataset, business model, and commercial priorities, then negotiate the provisions that matter to the transaction.

What if the dataset includes customer or user information?

We assess whether the proposed use is consistent with your contracts, permissions, and applicable privacy requirements. Removing names alone may not resolve every issue. The transaction may require additional permissions, exclusions, or changes to how the dataset is prepared.

What happens to trained models when the agreement ends?

That needs to be negotiated expressly. Deleting source files does not itself reverse training. We address continued use of existing models separately from data retention, future training, and access to new deliveries.

Can you help before we have a buyer?

Yes. We advise on how to structure data collection and related agreements with future sales or licensing in mind. That includes privacy notices, consent and opt-out processes where required, customer and contributor terms, and vendor agreements. We also review existing licensing rights and prepare evaluation terms and a form data license.

Have an AI data deal on the table?

Bring us the proposed terms—or tell us what you’re planning to license. We’ll help you define the rights, negotiate the economics, and move the agreement forward.
